Linx announces acquisition of some assets from Opus

Sao Paulo, July 29, 2013.

Linx S.A. (BM&FBovespa: LINX3; Bloomberg: LINX3:BZ and Reuters: LINX3.SA), leading provider of retail management software in Brazil, today announced that on July 29, 2013, Linx Sistemas e Consultoria Ltda., a subsidiary of the Company (“Linx Sistemas”) signed an Assets Purchase Agreement with Opus Software Comércio e Representações Ltda. (“Opus”) for R$9,000,000.00 (nine million reais), to be paid as follows: R$5,550,000.00 (five million, five hundred and fifty thousand reais) in one single installment and the balance of R$3,450,000.00 (three million, four hundred and fifty thousand reais) subject to the achievement of certain financial and operating targets until the year of 2015. In 2012 these assets generated gross revenues of R$3.1 million.

Opus activities include the development of POS and ERP software for franchisee chains in the services retail vertical, such as education, beauty, laundry, among others.

The acquisition of some assets from Opus is in line with the Company‘s strategic objectives of acquiring software companies focused on retail. In this case, the rational is to enter into a new retail vertical, that of franchisee chains for services retail.
